M&A Advisory for a Multinational Group

Hultec is a multinational group that manufactures waterworks gaskets, pipe sealing/joining systems, mould… with headquarter in Texas, U.S. and operational presence in North, South and Center America, Australia. Hultec appointed Tri Viet to be the exclusive consultant company to manage its complete acquisition transaction in Vietnam in 2008. The target company is a local rubber company which focuses on manufacturing Joint & gaskets for water pipes, dog toys, silicon rubber products.

At the end of 2008, Transaction Agreement had been completed with total transaction value of about US$4 million and Hultec holds 51% stake of the acquired company.

Due Diligence

  • Furnish full report on local company’s operation, including: operations, financials, etc.
  • Research thoroughly issues regarding tax, procedures, rights and responsibilities of parties, key issues incurred in pre & post acquisition process

Pro forma FS & Structure

  • Evaluate contributed assets for joint venture,
  • Complete detailed Pro forma financial statements for the entity post-acquisition
  • Recommend the most suitable capital structure

Negotiation & Deal closing

  • Assist the group with their negotiations, coordinate with related parties, manage transaction process

Post acquisition

  • Assist both parties in preparing registratory documentation to submit to relevant office
  • Continues to manage post-acquisition process
