Phan Vu’s Private placement to a Japanese strategic industry player
Phan Vu is the largest supplier in Viet Nam of precast concrete products such as foundation piles (including the prestressed centrifugal concrete spun pile, square pile), centrifugal concrete drainage pipe, culverts and other concrete component products. Tri Viet acted as the advisor for Phan Vu’s private placement to strategic partners. At the end of July 2010, Share Transfer Agreement between Phan Vu Investment Corp. and Japan Pile Corporation Company had been completed with Japan Pile’s acquisition of 5% stake in Phan Vu.
Japan Pile Corporation Company is one of the top 3 concrete product companies in Japan with sales of 43,834 million yen (2010), approximately US$ 520.5 million. Japan Pile confirms Phan Vu as its unique partner in Vietnam and will continue to invest in the holding company of Phan Vu as well as in Phan Vu’s subsidiaries. Japan Pile is also committed to update Phan Vu with latest Japanese technologies in manufacturing and construction of pile foundation, to send its experts to Vietnam and to provide training for Phan Vu’s staff in Japan.
Preparation and offering
- Discuss with Phan Vu’s management board on growth strategies;
- Prepare Investment Memorandum and deal information package;
- Assist Phan Vu with financial projection for the period of 2010-2013;
- Analyse and defend company valuation;
- Assist the Company in providing the information requested by investor.
Negotiation and deal closing
- Assist Phan Vu with negotiation on terms and conditions for MOU as well as the transaction;
- Assist Phan Vu and investor to complete investment procedures.
